Terms of Use

1. Acceptance of terms

These Terms of Use ("Terms") govern access to and use of oriilabs.com and the Orii platform (together, the "Service"), provided by Orii Labs LLC ("Orii Labs," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

2. Description of the Service

Orii Labs provides founder-led content systems for B2B SaaS companies, combining founder and buyer extraction sessions, the Orii founder-intelligence platform, and an editorial and publishing workflow. The specific scope, deliverables, timeline, and fees for a given engagement are set out in a separate order form or statement of work ("Engagement"), which these Terms incorporate by reference.

3. Accounts and eligibility

You must be at least 18 and able to form a binding contract to use the Service. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any login credentials issued to you or your team.

4. Client content and intellectual property

• Client-provided material. You retain ownership of the material you provide us, such as interview recordings, transcripts, sales notes, and product documents ("Client Content"). You grant Orii Labs a license to use Client Content solely to deliver the Service.
• Deliverables. Once an Engagement is paid in full, final published deliverables (such as approved posts and newsletters) become the client's property, unless the Engagement states otherwise.
• Orii Labs IP. The Orii platform, our extraction methodology, templates, and underlying software remain the property of Orii Labs. Nothing in an Engagement transfers ownership of the platform or methodology itself.

5. Acceptable use

You agree not to use the Service to: violate any law or third party's rights; upload content you do not have the right to share; attempt to gain unauthorized access to the Service or its underlying systems; or interfere with the Service's normal operation.

6. Fees and payment

Fees, invoicing schedule, and payment terms are set out in the applicable Engagement. Unless otherwise agreed in writing, fees are non-refundable once the corresponding work has been delivered. Late payments may result in suspension of the Service.

7. Confidentiality

Each party agrees to keep the other's confidential information, including Client Content, unpublished drafts, and business information shared during an Engagement, confidential, and to use it only to perform under these Terms and the Engagement.

8. Disclaimers

The Service is provided "as is" and "as available." Orii Labs does not guarantee specific business outcomes, such as pipeline, follower, or revenue growth, since these depend on factors outside our control. To the fullest extent permitted by law, Orii Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, Orii Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Service. Orii Labs' total liability for any claim arising from an Engagement will not exceed the fees paid for that Engagement in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold Orii Labs harmless from claims, damages, and expenses arising from your breach of these Terms, misuse of the Service, or violation of applicable law or a third party's rights.

11. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate an Engagement in accordance with its terms. Orii Labs may suspend or terminate access to the Service for breach of these Terms or non-payment. Sections that by their nature should survive termination, including confidentiality, intellectual property, disclaimers, and limitation of liability, will survive.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction specified in the applicable Engagement, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the courts of that jurisdiction, unless the Engagement specifies an alternative dispute-resolution process.

13. Changes to these terms

We may update these Terms from time to time. We will post the revised version here with an updated effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
